Terms of Service

The Service is developed and operated by Tensor Marketing Ltd. LocavoIQ (域见) provides Google Business Profile management, map ranking scans, local competitor comparisons, website SEO checks and reporting. These Terms form an agreement between you and Tensor Marketing Ltd.

By accessing or using the Service, you agree to these Terms. If you use the Service for an organization, you agree on its behalf and represent that you have authority to bind it. If you do not agree, do not use the Service.

The Service is intended primarily for business and professional users. You must be legally able to enter into these Terms, provide accurate account information, keep credentials secure, and promptly report suspected unauthorized access.

Team owners control membership, billing, connected business locations, workspace preferences, and other available team settings. You are responsible for people you authorize to use your team account and for maintaining appropriate internal permissions. Removing a member does not automatically change permissions held directly in Google or another third-party service.

You may connect only a Google Business Profile that you own or are authorized by the business owner to manage. Google account authorization is controlled through Google OAuth. Connecting the Service does not transfer ownership of the Business Profile to us or to any other user.

The Service may request information for historical date ranges that Google makes available. To improve performance, limited Content received through the Google Business Profile APIs may be securely cached for no more than 30 calendar days from the time of each actual retrieval. The date represented by the Content is not the start of this cache period. When a cached copy expires, the Service may delete it and request a current copy from Google if you remain connected and use the relevant feature.

Google-dependent summaries, comparisons, previews, and exports may be calculated for user-facing features. Any locally retained Google API Content or retained output containing that Content remains subject to the applicable Google storage period; operational records that do not contain Google API Content may be retained under the Privacy Policy.

You may disconnect access in Settings or revoke it through your Google Account. Disconnecting may stop synchronization and other Google-dependent functions but does not delete the Business Profile. Cached Google API Content continues to be deleted under the applicable retention schedule.

• Google Business Profile API policies

The current Service supports user-initiated publication, update, deletion, and status refresh of review replies. It will not publish a reply or make another supported write change without a user action or prior specific authorization. You are responsible for reviewing content and ensuring that each action is accurate, authorized, lawful, and consistent with Google policies.

Any AI-assisted content or analysis is a draft or decision-support output unless you specifically approve a supported publication action. Future posts, listing edits, profile changes, or other write features must follow the same user-control requirement.

Google Business Profile and Google are trademarks of Google LLC. The Service is an independent software product and is not affiliated with, sponsored by, endorsed by, or certified by Google.

Google Business Profile is provided by Google at no charge. LocavoIQ subscription fees pay for software, analytics, reporting and management features provided by Tensor Marketing Ltd. They are not a fee to list your business on Google or a payment to Google.

LocavoIQ is an independent third-party product, not Google, an official Google support service or a Google-certified partner. We do not guarantee search rankings, impressions, traffic or revenue.

You retain ownership of your Business Profiles. Connecting LocavoIQ does not transfer ownership to Tensor Marketing Ltd. Only connect profiles you own or are authorized to manage. An authorized user must approve review replies before submission.

You can disconnect Google in Settings or revoke access in your Google Account. Disconnecting does not delete your Google Business Profile or automatically cancel your LocavoIQ subscription. For help ending the management relationship, contact info@locavoiq.com. Within seven business days of notice, we will help disassociate your profile and remove any relevant management permissions we hold.

Paid plans are recurring subscriptions. Available monthly or annual prices, billing frequency, taxes, location capacity, and plan terms are shown at checkout. Payments are processed through Stripe. Unless cancelled, a subscription renews for the selected billing period at the then-applicable price disclosed to you.

You may manage or cancel an eligible subscription through the Stripe-hosted billing portal. A cancellation configured for the end of the billing period generally leaves paid access available until that period ends, subject to payment status and the plan terms presented at purchase. We may change plans or prices with reasonable notice where appropriate.

Refunds are governed by our Cancellation & Refund Policy, including the seven-day first-purchase guarantee and the exceptions described there. Applicable statutory rights remain unaffected.

• Cancellation & Refund Policy

Website scans may be submitted only for sites you own, manage, or are authorized to scan. If you act as an agency, you are responsible for obtaining the necessary authority from your client. You authorize us and our processing services to retrieve and analyse publicly accessible pages within your selected scope. Do not submit passwords, access tokens, private or signed links, confidential information, or pages you are not entitled to scan. You must not use the Service to bypass authentication, access controls, crawl restrictions, or third-party rights.

Website checks currently analyse retrievable HTML without executing page JavaScript or rendering the page in a browser. A single-page scan checks that page, not the entire website. A site scan is limited by your selected page allowance, accessible links, crawling restrictions and task completion. Dynamic content and pages not crawled may not be assessed. Findings are diagnostic guidance, not a complete security, accessibility or legal compliance audit.

Map rankings and competitor comparisons reflect public results observed for the selected keyword, location, language, device and scan time. They may differ from an individual user’s search results and may change after scanning. A business not found within the returned results does not necessarily lack a listing or ranking. These features do not modify a Business Profile or guarantee ranking, traffic or revenue improvements. You must use and share public business data lawfully and must not imply ownership of competitors’ content.

Map-point and website-page allowances are separate and shared within your workspace. Monthly allowances reset at the start of each UTC calendar month and do not roll over. Each submitted map point counts towards the map allowance. Website tasks reserve the selected page maximum; on completion, returned crawled pages determine usage where available. Submitted tasks that fail, or whose acceptance is uncertain, may still consume or reserve allowance; tasks cancelled before submission do not. Enabling weekly map scans authorizes recurring scans using the saved location settings and allowance until disabled, subject to plan limits and availability. An estimated wait time is not a completion guarantee.

Reports use the scan and scope you select and may contain partial results or a prioritised subset of findings. SEO report snapshots preserve the selected results; Google Business Profile reports may be recalculated from currently available retained data. Reports are available for 20 days from generation. Download copies you need before expiry. When sharing reports with clients, retain the scan date, scope and any partial-result qualifications. Website authorization and first-scan acceptance are recorded for each account and workspace; future scans remain subject to these Terms.

You must not use the Service to:

• Break the law, violate third-party rights, or impersonate a business or person.
• Connect or manage a Business Profile without authorization.
• Create fraudulent reviews, manipulate ratings, or conduct abusive automation.
• Abuse an API, credentials, tokens, rate limits, or attempt unauthorized access.
• Bypass security, plan limits, access controls, or technical restrictions.
• Violate Google Business Profile policies or resell unauthorized Google API access.
• Upload malicious code or interfere with the availability or integrity of the Service.

We and our licensors retain rights in the Service software, design, documentation, and branding. You retain your rights in content you supply and in your underlying business information. You grant us a limited right to process that content only as needed to provide, secure, and support the Service.

We do not claim ownership of Google, Google API data, your Business Profiles, customer reviews, or your underlying business content. Google and other third parties retain their respective rights.

The Service relies on third-party services such as Google, Stripe, application hosting, and database infrastructure. Their services are governed by their own terms and policies. We are not responsible for a third party changing, suspending, or discontinuing its service, but we will take reasonable steps to communicate material effects on the Service.

Public search data and website scanning services help deliver the SEO features. Provider delays, changed search results, site restrictions and technical failures can affect availability or completeness. Turning off a scan schedule or closing your workspace stops new submissions; tasks already accepted may continue to completion and their results may be collected.

We may improve, modify, or discontinue features and may perform maintenance. We do not guarantee uninterrupted or error-free availability. We will use reasonable efforts to avoid materially reducing paid functionality during a current subscription period without appropriate notice or remedy.

You can delete your personal account in Security settings. The last workspace owner must first hand over ownership, or close the workspace after removing other members, ending subscriptions, resolving billing and disconnecting Google. Closure stops synchronization, scheduled reports and new SEO scan submissions; it does not delete Business Profiles on Google or automatically issue refunds. Some business, billing and security records remain under our Privacy Policy and applicable law. Contact info@locavoiq.com to request deletion of stored data.

We may suspend or terminate access where reasonably necessary for a security threat, unlawful activity, material breach, payment failure, Google API policy violation, or misuse of connected Business Profiles. Where practicable, we will provide notice and an opportunity to resolve the issue.

You may stop using the Service and may disconnect Google access at any time. Suspension or termination does not cancel payment obligations already incurred or delete data where retention is required or permitted by law.

To the extent permitted by law, the Service is provided “as is” and “as available.” We do not promise that every metric, third-party response, recommendation, or generated report will be complete, current, or error-free. You remain responsible for business decisions, profile content, and verification of important outputs. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

To the extent permitted by law, neither party is liable for indirect, incidental, special, exemplary, or consequential loss, or for lost profits, revenue, goodwill, or data, arising from the Service. Our aggregate liability arising from the Service will not exceed the fees paid by you for the Service during the 12 months before the event giving rise to the claim.

These limits do not apply to fraud, wilful misconduct, breach of confidentiality, infringement, payment obligations, or liability that cannot lawfully be limited. Applicable consumer, privacy, and statutory rights remain unaffected.

You will defend and indemnify us against third-party claims arising from your unlawful or unauthorized use of the Service, your content, your violation of third-party rights, or your management of a Business Profile without authority. This obligation does not apply to the extent a claim was caused by our breach, negligence, or wilful misconduct. We will provide reasonable notice and cooperation.

These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles. Courts located in Ontario will have jurisdiction, except where applicable law gives you a mandatory right to bring a claim elsewhere. These Terms do not prevent anyone from exercising mandatory consumer, employment, or privacy rights.

We may update these Terms. We will post the new effective date and provide reasonable notice of material changes where appropriate. Continued use after the effective date constitutes acceptance, except where applicable law requires another form of agreement.
