Terms of Service
These Terms govern business and professional use of the GBP Reports website and software service.

1. Acceptance
By accessing or using the Service, you agree to these Terms. If you use the Service for an organization, you agree on its behalf and represent that you have authority to bind it. If you do not agree, do not use the Service.
2. Business account eligibility
The Service is intended primarily for business and professional users. You must be legally able to enter into these Terms, provide accurate account information, keep credentials secure, and promptly report suspected unauthorized access.
3. Team and organization accounts
Team owners control membership, billing, connected business locations, workspace preferences, and other available team settings. You are responsible for people you authorize to use your team account and for maintaining appropriate internal permissions. Removing a member does not automatically change permissions held directly in Google or another third-party service.
5. Actions affecting a Business Profile
The current Service supports user-initiated publication, update, deletion, and status refresh of review replies. It will not publish a reply or make another supported write change without a user action or prior specific authorization. You are responsible for reviewing content and ensuring that each action is accurate, authorized, lawful, and consistent with Google policies.
Any AI-assisted content or analysis is a draft or decision-support output unless you specifically approve a supported publication action. Future posts, listing edits, profile changes, or other write features must follow the same user-control requirement.
6. Independent service
Google Business Profile and Google are trademarks of Google LLC. The Service is an independent software product and is not affiliated with, sponsored by, endorsed by, or certified by Google.
7. Subscriptions and billing
Paid plans are recurring subscriptions. Available monthly or annual prices, billing frequency, taxes, location capacity, and plan terms are shown at checkout. Payments are processed through Stripe. Unless cancelled, a subscription renews for the selected billing period at the then-applicable price disclosed to you.
You may manage or cancel an eligible subscription through the Stripe-hosted billing portal. A cancellation configured for the end of the billing period generally leaves paid access available until that period ends, subject to payment status and the plan terms presented at purchase. We may change plans or prices with reasonable notice where appropriate.
Refunds, if available, are provided as required by applicable law or by refund terms expressly presented at purchase. These Terms do not create a separate refund entitlement.
8. Acceptable use
You must not use the Service to:
- Break the law, violate third-party rights, or impersonate a business or person.
- Connect or manage a Business Profile without authorization.
- Create fraudulent reviews, manipulate ratings, or conduct abusive automation.
- Abuse an API, credentials, tokens, rate limits, or attempt unauthorized access.
- Bypass security, plan limits, access controls, or technical restrictions.
- Violate Google Business Profile policies or resell unauthorized Google API access.
- Upload malicious code or interfere with the availability or integrity of the Service.
9. Intellectual property and customer content
We and our licensors retain rights in the Service software, design, documentation, and branding. You retain your rights in content you supply and in your underlying business information. You grant us a limited right to process that content only as needed to provide, secure, and support the Service.
We do not claim ownership of Google, Google API data, your Business Profiles, customer reviews, or your underlying business content. Google and other third parties retain their respective rights.
10. Third-party services
The Service relies on third-party services such as Google, Stripe, application hosting, and database infrastructure. Their services are governed by their own terms and policies. We are not responsible for a third party changing, suspending, or discontinuing its service, but we will take reasonable steps to communicate material effects on the Service.
11. Service changes and availability
We may improve, modify, or discontinue features and may perform maintenance. We do not guarantee uninterrupted or error-free availability. We will use reasonable efforts to avoid materially reducing paid functionality during a current subscription period without appropriate notice or remedy.
12. Suspension and termination
We may suspend or terminate access where reasonably necessary for a security threat, unlawful activity, material breach, payment failure, Google API policy violation, or misuse of connected Business Profiles. Where practicable, we will provide notice and an opportunity to resolve the issue.
You may stop using the Service and may disconnect Google access at any time. Suspension or termination does not cancel payment obligations already incurred or delete data where retention is required or permitted by law.
13. Disclaimer of warranties
To the extent permitted by law, the Service is provided “as is” and “as available.” We do not promise that every metric, third-party response, recommendation, or generated report will be complete, current, or error-free. You remain responsible for business decisions, profile content, and verification of important outputs. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
14. Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental, special, exemplary, or consequential loss, or for lost profits, revenue, goodwill, or data, arising from the Service. Our aggregate liability arising from the Service will not exceed the fees paid by you for the Service during the 12 months before the event giving rise to the claim.
These limits do not apply to fraud, wilful misconduct, breach of confidentiality, infringement, payment obligations, or liability that cannot lawfully be limited. Applicable consumer, privacy, and statutory rights remain unaffected.
15. Indemnification
You will defend and indemnify us against third-party claims arising from your unlawful or unauthorized use of the Service, your content, your violation of third-party rights, or your management of a Business Profile without authority. This obligation does not apply to the extent a claim was caused by our breach, negligence, or wilful misconduct. We will provide reasonable notice and cooperation.
16. Governing law
These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles. Courts located in Ontario will have jurisdiction, except where applicable law gives you a mandatory right to bring a claim elsewhere. These Terms do not prevent anyone from exercising mandatory consumer, employment, or privacy rights.
17. Changes to these Terms
We may update these Terms. We will post the new effective date and provide reasonable notice of material changes where appropriate. Continued use after the effective date constitutes acceptance, except where applicable law requires another form of agreement.
